14. 欧盟证券与市场管理局为市场参与者提供与第三国养老金计划交易的清算

义务指引（2024 年 3 月 27 日）

欧盟证券与市场管理局（ESMA，欧盟证券市场的监管者）发布了一份公开

声明，在完成对《欧盟市场基础设施监管条例》（EMIR）的审查之前取消与第三

国养老金计划安排（TC PSA）清算义务相关监管执法的优先地位。

在此期间，鉴于市场参与者将面临的挑战，ESMA 预计各成员国监管机构

（NCAs）不会将与第三国养老金计划安排所进行的衍生品交易清算义务相关的

监管行动放在优先位置，这些第三国养老金计划安排根据第三国的国内法被免除

清算义务。此外， ESMA 建议各成员国监管机构在日常执行该领域适用的法律时，

以适当方式行使其基于风险的监管权力。

欧盟理事会和欧洲议会于 2024 年 2 月 7 日达成临时协议。关于《欧盟市场

基础设施监管条例 3》（EMIR 3）文本的政治协议规定，当第三国养老金计划安

排根据该第三国的国内法免除清算义务时，可以免除《欧盟市场基础设施监管条

例》的清算义务。

ESMA Provides Market Participants with Guidance on The Clearing Obligation

for Trading with 3rd Country Pension Schemes (2024/3/27)

The European Securities and Markets Authority (ESMA), as the EU’s financial

markets regulator and supervisor, today issued a public statement on deprioritising

supervisory actions linked to the clearing obligation for third-country pension scheme

arrangements (TC PSA), pending the finalisation of the review of EMIR.

During this period and in view of the challenges that market participants would

face, ESMA expects National Competent Authorities (NCAs) not to prioritise

supervisory actions in relation to the clearing obligation for derivative transactions

conducted with TC PSAs exempted from the clearing obligation under their
